Coaching Calls: You shall receive one (1) phone call of sixty (60) minute duration initiated by me (your coach) per session for the allotted time of the program of your choice, commencing on the first day elected by you.

Voxer Support: If you selected a package which includes use of the Voxer App: This includes up to 5 questions per week (Monday-Friday, 10am-6pm EST), which I will respond to within 2 business days or less. Please keep each voice note to two (2) minutes or less. Please do not send additional voice notes until the Coach has responded. It is the client's responsibility to initiate contact with the Coach through the Voxer App as needed. 

Personalized Plan: This is the fun part! I will create a personalized plan for you based on your expressed goals, needs and desires after initial our intake is completed. The plan provides a holistic approach to overcoming picking the wrong romantic partner. I may make suggestions or containers in which you opt to participate.

CLIENT SERVICES AGREEMENT (the “Agreement”)

Emily Taradash Coaching & Consulting

 

This agreement (the “Agreement”) is made effective as of day of purchase, by and

between Feel Good Ferments LLC, a Rhode Island corporation (the “Company”) doing business

as Emily Taradash Coaching & Consulting, (the “Coach”) and the Client (as defined below).

  1. Term: This Agreement will commence as of the date of the first call (as described below)

and shall continue for 3 months (the “Term”). The Client understands that the

relationship between the Parties shall cease at the end of the Term. If the Parties

choose to continue their relationship in any way, a separate and distinct agreement will

be entered into and agreed upon.

  1. Client Information:

  1. Services:
  2. Overview. The services provided Coach are generally conducted via telephone or

Zoom. Coaching is a partnership focused on developing the client’s awareness,

thinking, and abilities in order to help the client identify and achieve his/her work

related goals. In coaching conversations, Coach will provide direct and honest

communication and will encourage the Client to do the same.

  1. Coaching Calls: Client shall receive one (1) phone or video call of sixty (60) minutes duration every other week initiated by the Coach for a three-month period of the program,

commencing on the date first written above, subject to mutually agreed upon

extensions in writing by the parties.

  1. Support: In addition, Clients may communicate with the Coach for up to five

questions per week and one question per day via a Voxer account, which will be

answered within 48 hours of a Client’s communication between Monday and Friday

from 8am and 6pm. Questions received on weekends will not be answered until

Monday.

  1. Personalized Plan. The Coach will create a personalized plan for the client based on

their expressed goals, needs and desires after initial intake is completed. The plan

provides a holistic approach to overcoming burnout. The Coach may make

suggestions or containers in which the client opts to participate.

  1. Appointments: The Coach and Client commit to start and finish each session on time. If

the client is more than 10 minutes late for a coaching session, the Coach will assume

the session is cancelled and the client will forfeit the session fee. Client must provide 24

hours’ notice if Client wants to cancel or change the time of appointment. Cancellation

less than 24 hours before and/or no‐show appointments are billed to the client for the full

amount. The Client can reschedule his/her appointment by provided link in the Acuity

scheduling site.

 

  1. Investment: The cost of the Program is Five Hundred Dollars monthly for 6 Sixty Minute Sessions, to be used within 90 days of purchase($1500 total) (the “Investment”). 

All payments must be completed by Acuity website via Stripe and is payable by the Client

pursuant to one of the following payment options:

☐3 Monthly Payments (Wingwoman): Client shall pay the sum of $1500, divided into 3 payments of $500 over the course of 3 months, by Kajabi website via Stripe or PayPal.

 

  1. Late/No Payments: Payments are due on or before the due dates listed in Section 5. If

a payment is not made on or before the due dates stated herein, the Coach will send the

Client an email with instructions on how to make immediate payment. The Coach will not

perform any additional services for the Client until payment is completed and the Client’s

access to any client portal or materials may be suspended until payment is made.

  1. Refund Policy: The Coach will do everything within her ability to ensure the Client’s

satisfaction with the Program. The Coach expects that the Client will do the same.

Refunds will not be issued for coaching services already conducted. If, for any reason,

the Coach is unable to fulfill her obligations to the Client, the Client will be refunded 80%

for any part of the Program paid for but not yet rendered. A 20% early cancelation fee

will be withheld for termination of the services by the Client.

  1. Client Commitments: The Client agrees to the following as part of the Program:
  2. Client is solely responsible for creating and implementing his/her own physical,

mental and emotional well-being, decisions, choices, actions and results arising out

of or resulting from the coaching relationship and his/her coaching calls and

interactions with the Coach. As such, the Client agrees that the Coach is not and will

not be liable or responsible for any actions or inaction, or for any direct or indirect

result of any services provided by the Coach. Client understands coaching is not

therapy and does not substitute for therapy if needed, and does not prevent, cure, or

treat any mental disorder or medical disease.

  1. Client further acknowledges that he/she may terminate or discontinue the coaching

relationship at any time. D. Client acknowledges that coaching is a comprehensive

process that may involve different areas of his or her life, including work, finances,

health, relationships, education and recreation. The Client agrees that deciding how

to handle these issues, incorporate coaching principles into those areas and

implementing choices is exclusively the Client’s responsibility.

  1. Client acknowledges that coaching does not involve the diagnosis or treatment of

mental disorders as defined by the American Psychiatric Association and that

coaching is not to be used as a substitute for counseling, psychotherapy,

psychoanalysis, mental health care, substance abuse treatment, or other

professional advice by legal, medical or other qualified professionals and that it is the

Client’s exclusive responsibility to seek such independent professional guidance as

needed. If Client is currently under the care of a mental health professional, it is

recommended that the Client promptly inform the mental health care provider of the

nature and extent of the coaching relationship agreed upon by the Client and the

Coach.

  1. The Client shall participate fully in the Coaching Calls, and any other part of the

program, to the best of his/her ability.

  1. The Client shall immediately inform the Coach of any issues or difficulties he/she

may have with the Program.

  1. The Client shall complete payment of the Investment according to the Terms herein.
  2. Coach Commitments: The Coach agrees to the following as part of the Program:
  3. The Coach shall participate fully and intently in the Coaching Calls, and any other

part of the program, to the best of his/her ability.

  1. The Coach will support the Client to the best of his/her abilities in accordance with

Section I of this Agreement.

  1. Please be aware that the Coach-Client relationship is not considered a legally

confidential relationship (like the medical and legal professions) and thus

communications are not subject to the protection of any legally recognized privilege.

However, the Coach fully protects the privacy and confidentiality of the

communications with and information shared by its Clients. At no time will Coach

voluntarily divulge the coaching relationship between themselves and their Clients

without written permission from the Clients, unless required to do so by law. The

Coach will not, at any time, either directly or indirectly, use any information disclosed

by the Client for the Coach’s own benefit, nor will the Coach disclose or

communicate, in any manner, any information to a third party about the Client.

Confidential Information does not include information that: (a) was in the Coach’s

possession prior to its being furnished by the Client; (b) is generally known to the

public or in the Client’s industry; (c) is obtained by the Coach from a third party,

without breach of any obligation to the Client; (d) is independently developed by the

Coach without use of or reference to the Client’s confidential information; or (e) the

Coach is required by statute, lawfully issued subpoena, or by court order to disclose;

(f) is disclosed to the Coach and as a result of such disclosure the Coach reasonably

believes there to be an imminent or likely risk of danger or harm to the Client or

others; and (g) involves illegal activity. The Client also acknowledges his or her

continuing obligation to raise any confidentiality questions or concerns with the

Coach in a timely manner.

  1. The Coach agrees to conduct the Coaching Calls/Sessions by [Zoom] or [Voxer], as stipulated in your coaching package. 
  2. Disclaimer: The Client understands that the Coach is a life coach with an MFA in

Costume Design from University of Massachusetts Amherst and a BA in Theater from

the University of Vermont.

The Client understands that the Coach is not an attorney, financial advisor, and/or accountant.

The Coach and Client’s work together is not a substitute for professional financial, business, or

legal advice. The Client understands that the Coach does not guarantee any outcome, income

revenue, and/or profit from the Parties’ work together.

The Coach is not a nutritionist, therapist, or licensed medical professional, and therefore the

Client needs to discuss and clear any and all changes to the Client’s lifestyle, food intake,

exercise regimen, or medical treatment with his/her physician before implementing changes or

habits suggested by the Coach. The Client confirms that s/he has or will discuss any and all

changes to his/her diet, exercise regimen, supplements, medications, or lifestyle with his/her

physician or qualified medical professional before implementing any suggested or offered

changes, additions, or alterations to his/her lifestyle. The Client understands that the Coach is

not a nutritionist, physician, medical professional, and/or a psychotherapist or psychologist].

The Coach has not promised, nor shall she be obligated to: (1) act as a therapist by providing

psychological counseling, psychoanalysis or behavioral therapy, (2) assist anyone with a

serious medical condition to resolve, manage, or improve that medical condition, and/or (3)

assist anyone not under the care of a physician or medical professional while implementing

healthy changes in his/her life. Coach shall not be held responsible and shall remain blameless

for any adverse or other consequences, including but not limited to financial, personal,

employment or other losses, arising out of decisions or actions the Client may make as a result

of the Services provided by the Coach.

  1. Limitation of Liability: Except as expressly provided in this Agreement, the Coach

makes no guarantees, representations or warranties of any kind or nature, express or

implied with respect to the coaching services negotiated, agreed upon and rendered.

Notwithstanding any damages that the Client may incur, the Coach’s entire liability under

this Agreement, and the Client’s exclusive remedy, shall be limited to the amount

actually paid by the Client to the Coach under this Agreement for all coaching services

rendered through and including the termination date. IN NO EVENT SHALL THE

COACH BE LIABLE TO THE CLIENT FOR ANY INDIRECT, SPECIAL, EXEMPLARY,

PUNITIVE, OR CONSEQUENTIAL DAMAGES.

  1. Indemnification: Client agrees to indemnify and hold harmless the Coach, Feel Good

Ferments LLC/DBA Emily Taradash Coaching & Consulting and its agents, employees,

representatives, successors and assigns from all direct and third party claims, losses,

expenses, fees, including attorneys’ fees, costs, and judgments that may be asserted

against Feel Good Ferments LLC/DBA Emily Taradash Coaching & Consulting or the

Coach, by any third parties that result from the errors, negligence, acts, and/or

omissions of the Client and/or the Coach.

  1. Arbitration: Any controversy or claim between the Parties shall be settled by arbitration

before a single, mutually agreed upon arbitrator under the then current rules of the

American Arbitration Association (“AAA”). If the Parties cannot agree upon an arbitrator,

then each party shall appoint one arbitrator and then both arbitrators, in turn, shall

appoint a third neutral arbitrator to hear the matter. The decision and award of the

arbitrator shall be final and binding and the award so rendered may be entered in a state

court of Rhode Island. The arbitration hearing shall be held in the state of Rhode Island.

Each party shall pay its own costs and expenses related to the arbitration, and shall split

the cost of the arbitrator equally. The arbitrator will have no authority to award punitive or

other non-compensatory damages to either party. No damages excluded by or in excess

of any damage limitations set forth in this Agreement shall be awarded. The sole remedy

for the Client shall be a refund of any amount paid to the Coach.

  1. Entire Agreement: This Agreement contains the entire agreement between the Parties.

There are no other promises or conditions in any other agreement (oral or written)

between the Parties.

  1. Severability: The provisions of this Agreement shall be deemed severable, and the

invalidity or unenforceability of any provision shall not affect the validity and

enforceability of any other provision hereof. If any Section, subsection, sentence, or

clause of this Agreement shall be adjudged illegal, invalid, or unenforceable, such

illegality, invalidity, or unenforceability shall have no effect on the Agreement as a whole

or on any Section, subsection, sentence, or clause hereof not expressly so adjudged.

  1. Applicable Law + Venue: This Agreement shall be governed by and construed and

enforced in accordance with the laws of the State of Rhode Island, United States as they

apply to contracts entered into and wholly to be performed in the State of Rhode Island,

United States. The Federal and State courts within the State of Rhode Island, United

States shall have exclusive jurisdiction to adjudicate any dispute arising out of or from

this Agreement.

  1. Photograph and Testimonial Release: The Client grants the Coach the right to

photograph, and/or utilize his/her image, voice, picture, name, silhouette or other

reproduction of my physical likeness (hereafter called "Media") in any and all

marketing and/or promotional materials created now or in the future (the

“Materials”). Client grants to the Company and any employees, agents,

successors, assigns and affiliates (collectively referred to herein as “Company”)

the exclusive, royalty-free and irrevocable right and license to:

Reproduce, use, re-use, publish, display, copyright and distribute all Media

contained in the Materials, or any portions thereof, in connection with any and

all mediums now known or hereinafter developed, for any purpose and on a

worldwide basis.

Reproduce, use, re-use, publish, display, copyright, and distribute the Media

contained in the Materials, or any portions thereof, in connection with any

promotion, advertising, and publicity of the Materials, on a worldwide basis. 

The Client understands that s/he will not receive any compensation for use of his/her

likeness, testimonial, or image. The Coach will make all reasonable efforts to conceal

the identity of the Client, unless otherwise granted permission by the Client to share

his/her name or identifying information.

 

Client hereby releases and discharges the Company from any claims or demands made

by Client in connection with the authorized use of the Media in the Materials including

but not limited to claims for libel, slander, invasion of privacy, rights of publicity and/or

copyright infringement.

I HEREBY CERTIFY THAT I, THE CLIENT, HAVE READ AND AGREED TO THE

AGREEMENT AS OF THE DATE FIRST STATED ABOVE.
